General Terms & Conditions

These General Terms and Conditions of Sale (the "GTC") define the terms under which Marine Weather Intelligence provides its services and subscriptions to professional and individual clients.

Marine Weather Intelligence is registered under number 949 451 827 R.C.S. Lorient, France, with its registered office at 17 Rue du Danemark, 56400 Auray, France.

These GTC apply to all services offered by Marine Weather Intelligence, including in particular:

  • Subscription-based or recurring services
  • One-off or non-recurring services

Any purchase of Services implies full and unconditional acceptance of these GTC.

Article 1. Purpose

These GTC govern the contractual relationship between Marine Weather Intelligence and any client subscribing to or purchasing its services, regardless of the channel used (online platform, email, purchase order, or signed agreement).

Article 2. Price

Services are invoiced in Euros (€), excluding taxes, to which applicable taxes are added. Applicable prices are those in force at the time of subscription or stated in the commercial offer, quotation, or contract.

Price Changes

For recurring services: Marine Weather Intelligence reserves the right to modify its pricing at any time. New prices will apply upon renewal of the subscription, provided the Client is informed at least one (1) month prior to the renewal date.

The Client agrees to pay the full subscription price, including applicable taxes, at the time of purchase. The Client remains solely responsible for payment of the selected services.

For one-off services: Prices remain fixed during the validity period of the quotation.

Taxation

  • Private individuals are subject to VAT according to their country of residence.
  • French companies are subject to French VAT.
  • EU companies with a valid intra-community VAT number are exempt, provided the number is supplied at purchase.
  • Non-EU companies must provide their registered office address and registration number to benefit from VAT exemption.

Promotions

  • Promotional offers are valid only for their specified duration.
  • Promotions cannot be combined and cannot be exchanged for cash or refunded in part or in full.
  • Once expired, the benefit is permanently lost.

Article 3. Services, Payment Terms

Online orders

The purchase process includes the following steps:

  1. Selection of the desired Service
  2. Redirection to a secure payment interface
  3. Entry of personal and billing information
  4. Order validation after review
  5. Payment according to Article 2

The Client may review, modify, or cancel the order before final confirmation.

By checking the box "I have read and accept the Terms and Conditions", the Client acknowledges acceptance of both the GTC and the Terms of Use.

The contract is deemed concluded upon order validation and payment confirmation. A confirmation email is sent to the Client.

The Client acknowledges that:

  • platform records constitute proof of the transaction (Service, date),
  • payment provider records constitute proof of financial transaction.

Order details are archived and accessible via the Client account.

Offline orders

  1. The Client contacts Marine Weather Intelligence
  2. Requirements are communicated
  3. A quotation is issued
  4. The contract is formed upon signature of the quotation

Signature implies full acceptance of the GTC and Terms of Use.

Marine Weather Intelligence reserves the right to refuse or suspend any order in case of an existing dispute or previous non-payment.

Article 4. Payment Terms

Payment Methods

In accordance with SEPA regulations, payment may be made by credit card (via a secure provider such as Stripe) or by bank transfer (SEPA or SWIFT). Payment data is processed by the provider and not stored by Marine Weather Intelligence. For subscriptions, the Client authorises automatic recurring payments until termination. Certain payments may require strong authentication (e.g., 3D Secure).

Invoicing

Services may be invoiced as a monthly subscription, annual subscription (automatically renewed), or one-off service.

  • Services exceeding one (1) month are invoiced monthly.
  • Services shorter than one (1) month are invoiced upon completion.
  • Unless otherwise specified, subscriptions are billed in advance.
  • The Client is responsible for accurate billing information.

Late or Failed Payment

In case of non-payment:

  • Access to Services may be suspended
  • Outstanding amounts remain due
  • Late payments may incur penalties in accordance with applicable regulations.

Article 5. Duration, Renewal and Termination

Duration

Subscriptions are entered into for the duration specified in the offer: fixed term, renewable subscription, or one-off service.

Renewal

Subscriptions renew automatically unless terminated.

Free Trial

Free trials may be offered. At the end of the trial, billing begins automatically unless cancelled beforehand.

Subscription Changes

Clients may modify their subscription plan via their account or by contacting Marine Weather Intelligence. Upgrades/downgrades are prorated; credits are applied for unused periods and new pricing applies immediately. Any price difference is invoiced immediately.

Termination

There are three possible scenarios:

1. Subscription-based services (online)
Subscriptions entered into via the online platform renew automatically at the end of each billing period. The renewal date is visible at all times in the Client's account dashboard. To prevent renewal, the Client must cancel at least fifteen (15) calendar days before the renewal date, via the client portal or by contacting support at support@marine-weather.com. No further charges will be made thereafter.

2. Contracts entered into directly (email, purchase order, or signed agreement)
For recurring contracts concluded outside the online platform, the contract term runs from the date of signature or purchase order acceptance. Unless terminated by either party, the contract renews automatically for an equivalent period. Marine Weather Intelligence will send a renewal notice by email no later than thirty (30) days before the end of the current term. Either party may decline renewal by written notice (email accepted) within fifteen (15) days of receiving that notice. If no renewal notice is sent by Marine Weather Intelligence, the Client retains the right to terminate at any time before the renewal date without penalty.

3. Framework agreements (master service agreements)
Where the parties have entered into a framework agreement defining general terms and pricing for recurring but non-fixed services, the agreement renews annually from its signature date unless terminated by either party with thirty (30) days' written notice before the anniversary date. Individual service orders placed under the framework are invoiced upon completion and are not subject to automatic renewal. Termination of the framework does not affect the completion or invoicing of services already in progress.

Proof of termination request

Any termination request must be submitted in writing, either:

  • via the cancellation feature in the Client's online account (for platform-based subscriptions), which generates an automatic confirmation email serving as proof of receipt, or
  • by email to support@marine-weather.com, from the email address registered on the account.

For email-based requests, Marine Weather Intelligence undertakes to acknowledge receipt within three (3) business days. If no acknowledgement is received within this period, the Client is advised to follow up to ensure the request has been received.

The termination request is deemed received on the date of Marine Weather Intelligence's acknowledgement email, or on the date of submission via the client portal. Marine Weather Intelligence shall not be held liable for termination requests sent to incorrect addresses or lost in transmission. The Client bears the risk of non-receipt for requests sent outside the channels defined above.

  • No refunds are granted for ongoing subscription periods. All amounts paid remain definitively acquired by Marine Weather Intelligence.
  • Fixed-term, non-renewable services cannot be terminated early.

Marine Weather Intelligence may suspend Services in case of non-payment, abusive dispute, or breach of GTC.

Article 6. Right of Withdrawal

The right of withdrawal applies to distance contracts in accordance with Articles L221-18 et seq. of the French Consumer Code.

Individual clients (consumers) have the right to withdraw from a distance contract within fourteen (14) calendar days of purchase, without providing any reason.

If the Client requests immediate access to the service at the time of purchase:

  • By checking the box "I request immediate activation and acknowledge that I waive my right of withdrawal once the service has been fully performed", the Client expressly consents to the service beginning before the withdrawal period expires.
  • If the service is fully performed within the 14-day window, the right of withdrawal is lost upon completion.
  • If the service has only partially begun, the Client may still withdraw, but will be charged proportionally for the portion already delivered.

If the Client does not request immediate activation, the standard 14-day withdrawal period applies in full.

The right of withdrawal does not apply to professional clients or to fully executed one-off services. Refund requests under this right must be submitted to support@marine-weather.com and will be processed within fourteen (14) days of receipt.

Article 7. Force Majeure

Marine Weather Intelligence shall not be liable for failure to perform obligations due to force majeure events, including natural disasters, government actions, war or terrorism, or any other unforeseeable and unavoidable events. Obligations are suspended for the duration of such events.

Marine Weather Intelligence shall not be liable for indirect damages, including loss of business, profit, or opportunity.

Article 9. Final Provisions

9.1 No waiver

Failure by Marine Weather Intelligence to enforce any provision of the GTC or any breach by the Client shall not be interpreted as a waiver of its right to enforce such provision in the future.

9.2 Partial invalidity

If any provision of these GTC is declared invalid by law, regulation, or final court decision, it shall be deemed unwritten while the remaining provisions remain fully effective. Marine Weather Intelligence may replace the invalid provision with a legally compliant one.

9.3 Evidence

Marine Weather Intelligence and the Client agree that, in the event of a dispute, they will not contest the enforceability of these GTC, of which each party retains a printed copy. They also agree to recognise the evidential value of printed versions of their electronic communications under the same conditions as other written or printed documents.

Article 10. Governing Law and Jurisdiction

These GTC are governed by French law. Any dispute arising out of or in connection with the formation, performance, or interpretation of these GTC, as well as any dispute relating to non-contractual liability, shall fall under the jurisdiction of the Commercial Court of Lorient (France), unless the Client is a consumer, in which case disputes shall be submitted to the competent courts under applicable mandatory consumer protection rules.
